Terms and Conditions

Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the platforms, applications, tools, automation, custom integrations, and/or other solutions (“Service”, “Services”) developed and operated by BroadBanner Media Co-op (“BroadBanner”, “us”, “we”, “our”).

Your access to and use of the Services are conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, members, and others who access or use the Services (“you”, “your”).

By accessing or using the Services, you agree to be bound by these Terms. Violation of any part of the Terms may result in your access being suspended or revoked, as well as legal and/or other remedial action being taken against you, at the discretion of BroadBanner Media Co-op and its owners, partners, shareholders, members, and/or other controlling persons or entities (“Owners”).

Member Accounts


When you create a member account to access the Services, you are responsible for ensuring the information you provide is accurate, complete, and current at signup and ongoing. Failure to do so may affect the quality and/or accessibility of the Services and may result in remedial action up to and including suspension or termination of your account.

You are responsible for safeguarding the credentials you use to access the Services and for any activities or actions performed using your credentials.


You agree not to disclose your password to any third party. Upon becoming aware of any breach of security or unauthorized use of your account, you are responsible for changing your password and, where applicable, notifying us immediately.

You agree that any member account created by you will be used for direct access to the Services by an individual person, unless expressly authorized by BroadBanner.

Conduct / Permitted Use


You acknowledge that any of the following actions constitute unauthorized use of the Services and, therefore, a breach of the Terms:


  • Reverse engineering

  • Scraping or exporting data at scale

  • Misusing automation tools

  • Intentionally interfering with system integrity

  • Using the Services to harm others

  • Using the Services outside of the scope of the designated functional role within BroadBanner

  • Sharing privileged information* without authorization or consent

Should you become aware of unauthorized use of the Services, please report it immediately to BroadBanner and/or its Owners to help ensure the ongoing quality, integrity, and safety of our network and shared spaces. 


These Terms operate in conjunction with our Code of Conduct. Should any conditions or rules conflict between the two, these Terms will prevail.

*Privileged information includes any information only accessible via restricted access, i.e. not accessible to the general public. While BroadBanner strives to operate transparently, some information like member contact details are sensitive and only visible to authorized BroadBanner members. Members control whether their own contact information is visible in the public directory. 

Intellectual Property


Components of the Services that are publicly available for copying and redistribution will be expressly marked as public or non-proprietary. Otherwise, all Services and their functionality and original content are and will remain our exclusive property. Unauthorized replication and redistribution are prohibited.

User Responsibility for Content


You retain full ownership over your own content and are responsible for its accuracy. Any content shared by you during the provision of the Services constitutes granting BroadBanner a non-exclusive, worldwide, royalty-free license to use, process, aggregate, reproduce, display, and distribute your content for the purpose of delivering the Services. 

You acknowledge that BroadBanner is not responsible for the accuracy of content entered by members into our systems or imported from external applications as part of the Services.

Service Updates & Continuity


You acknowledge that our systems form part of a shared infrastructure that is dynamic, evolving, and expanding in real time. Features and components are subject to change without notice and may be released as experimental during growth phases. We reserve the right to modify, restrict, or discontinue any part of the Services at any time.

We do not guarantee preservation of data and recommend users maintain their own backups of any rendered content that they wish to preserve.

Third-Party Platforms


Our Services may contain links to third party websites, applications, or services, or integrations with same, that are not owned or controlled by BroadBanner. 

BroadBanner has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party platforms, applications, or services. By accepting these Terms, you further acknowledge and agree that while BroadBanner will make every reasonable effort to maintain current links, connections, and integrations, we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such platforms, applications, or services.

We strongly advise all users to read the terms and conditions and privacy policies of any third-party websites or applications they use.

Termination


You agree that if you breach these Terms, we may terminate or suspend your account and/or access to any Services immediately, without prior notice or liability and without limitation. Upon termination or suspension of your account, your right to use the Services will immediately cease. In the case of suspension, your access to the Services will resume, with limitations and conditions set at BroadBanner’s discretion.

If you wish to terminate your account, you may simply discontinue using the Services.

All provisions of the Terms shall survive termination, including, without limitation: ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer


Your use of the Services is at your sole risk. The Services are provided on an “as is” and “as available” basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Limitation of Liability


To the fullest extent permitted by law, BroadBanner shall not be liable for any indirect, incidental, consequential, or special damages, or any loss of data, revenue, or profits arising from or related to your use of the Services.

Governance


These Terms shall be governed and construed in accordance with all applicable laws and regulations, without regard to their conflict of provisions.

It is your responsibility to ensure your use of the Services is within the bounds of your local laws and regulations.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between you and BroadBanner and may be supplemented by addenda and/or appendices as mutually agreed, on a case-by-case basis.

Changes


We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable effort to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you may stop using the Services.
